1. Acceptance of These Terms
These Terms of Use (the "Terms") govern access to and use of the website located at www.astrellesystems.com and any subdomain, page or online form that links to these Terms (collectively, the "Site"). The Site is owned and operated by Astrelle Systems, LLC, a Wyoming limited liability company with its principal place of business at 3401 West Rock Creek Road, Norman, Oklahoma 73072 ("Astrelle Systems," the "Company," "we," "us" or "our").
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Site on behalf of an organization or government agency, you represent that you have authority to bind that entity, and "you" refers to both you and that entity. If you do not agree to these Terms, do not access or use the Site.
2. Eligibility
The Site is intended for use by adults acting in a business, institutional or governmental capacity. You must be at least 18 years of age to use the Site. By using the Site, you represent that you meet this requirement.
3. Informational Purpose of the Site
The Site provides general information about the Company, the products it distributes and services, and the markets it serves. Content on the Site is provided for informational purposes only and does not constitute an offer to sell, a solicitation of an offer to buy, a quotation, a proposal, or a commitment to provide any product or service. Products and services are supplied only under a written agreement, purchase order or government contract executed by the Company, and the terms of that instrument govern in the event of any inconsistency with the Site.

Certain products described on the Site may be manufactured by third parties and are subject to the manufacturer's own specifications, warranties, end user license terms and export restrictions.

Information on the Site relating to medical simulation, clinical training, healthcare technology or related subjects is provided for general informational purposes. It is not medical advice, does not establish a clinical standard of care, and is not a substitute for the judgment of a licensed healthcare professional or the training requirements of an accrediting body. Simulation and training products described on the Site are intended to support instruction and are not intended for the diagnosis, treatment or monitoring of any patient.
5. No Government Endorsement
References on the Site to federal, state, local or tribal agencies, military organizations, contract vehicles, registrations or past performance are provided for informational purposes and do not imply endorsement, sponsorship or approval of the Company or its products by any government entity. Use of any agency name, seal or insignia on the Site, where present, is descriptive only.
6. Intellectual Property
The Site and all content on it, including text, graphics, logos, images, photographs, video, audio, software, page layouts, and the selection and arrangement of the foregoing (the "Content"), are owned by the Company or its licensors and are protected by United States and international copyright, trademark, trade dress and other intellectual property laws. Except as expressly permitted in these Terms, no Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, modified, or used to create derivative works without the prior written consent of the Company.
You may view, download and print pages from the Site for your own internal business or governmental evaluation purposes, provided that you do not modify the Content, that you retain all copyright and proprietary notices, and that you do not use the Content in any manner that suggests an association with or endorsement by the Company.
"Astrelle Systems," the Astrelle Systems logo, and other names, marks and logos displayed on the Site are trademarks or service marks of the Company or of third parties. Nothing on the Site grants any license or right to use any trademark without the written permission of the owner. Third party product names and marks appearing on the Site, including those of manufacturers whose products the Company distributes, are the property of their respective owners.
7. Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Site in any manner that violates applicable federal, state, local or international law or regulation.
- Access or attempt to access any portion of the Site, or any server, network or system connected to the Site, that you are not authorized to access.
- Probe, scan or test the vulnerability of the Site or circumvent any security or authentication measure.
- Introduce viruses, malware, or any other code that is malicious or technologically harmful.
- Use any robot, spider, scraper or other automated means to access the Site or to extract Content, except for the indexing activities of public search engines conducted in accordance with our robots.txt file.
- Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available.
- Impersonate the Company, a Company representative, or any other person or entity, or misrepresent your affiliation with any person or entity.
- Submit through any form on the Site any content that is unlawful, defamatory, infringing, obscene, threatening or otherwise objectionable, or any information that you do not have the right to disclose.

The Company may investigate any suspected violation of this Section, may suspend or terminate your access to the Site without notice, and may cooperate with law enforcement authorities in prosecuting users who violate the law.
8. Submissions
Any information, inquiry, comment, suggestion, idea or other material that you submit through the Site, other than personal information governed by the Privacy Policy, is treated as non confidential and non proprietary (a "Submission"). By providing a Submission, you grant the Company a perpetual, irrevocable, worldwide, royalty free, non exclusive license to use, reproduce, modify, publish, distribute and otherwise exploit the Submission for any business purpose without compensation or attribution to you. You represent that you own or control all rights in each Submission and that the Submission does not violate these Terms or the rights of any third party.
The Company does not accept unsolicited proposals, designs or product ideas through the Site. Any such material received will be treated as a Submission under this Section, and the Company will have no obligation of confidentiality or compensation with respect to it.
9. Third Party Websites and Content
The Site may contain links to websites, platforms and resources operated by third parties, including manufacturers, partners, professional networking sites and video platforms. These links are provided for convenience only. The Company does not control, endorse or assume responsibility for the content, privacy practices, products or services of any third party site. Your use of a third party site is governed by that site's own terms and policies and is at your own risk.
10. Copyright Infringement Claims
The Company respects the intellectual property rights of others. If you believe that material on the Site infringes a copyright that you own or control, you may submit a notice under the Digital Millennium Copyright Act, 17 U.S.C. Section 512, to the designated agent identified below. Your notice must include your physical or electronic signature; identification of the copyrighted work claimed to have been infringed; identification of the material claimed to be infringing and information sufficient to locate it on the Site; your address, telephone number and email address; a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent or the law; and a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on behalf of the owner.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE CONTENT IS ACCURATE, COMPLETE OR CURRENT. 13. Indemnification
You agree to defend, indemnify and hold harmless the Company and its members, managers, officers, employees, agents, licensors and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your use of the Site, or any Submission you provide. This obligation does not apply to a governmental entity to the extent that indemnification is prohibited by applicable law, including the Anti Deficiency Act.
14. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Cleveland County, Oklahoma, and you consent to the personal jurisdiction of and venue in those courts. Nothing in this Section limits the rights of a governmental entity under applicable law regarding jurisdiction, venue or sovereign immunity.
15. Export Controls
Certain products and technical information described on the Site may be subject to United States export control and sanctions laws, including the Export Administration Regulations and the International Traffic in Arms Regulations. You agree not to access or use the Site, or to export, re export or transfer any Content, in violation of those laws or from any jurisdiction subject to comprehensive United States sanctions.
16. Changes to the Site and These Terms
The Company may modify, suspend or discontinue the Site or any part of it at any time without notice. The Company may revise these Terms from time to time by posting a revised version on the Site with an updated Last Updated date. Revisions take effect upon posting. Your continued use of the Site after a revision constitutes acceptance of the revised Terms.
17. General Provisions
These Terms, together with the Privacy Policy and the Cookie Notice, constitute the entire agreement between you and the Company regarding use of the Site and supersede all prior understandings on that subject. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. The failure of the Company to enforce any right or provision of these Terms is not a waiver of that right or provision. You may not assign these Terms without the prior written consent of the Company; the Company may assign these Terms without restriction. Sections 6, 8, 11, 12, 13, 14 and 17 survive any termination of your access to the Site.
